These Terms of Service ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and Maedo ("we," "us," or "our"), concerning your access to and use of our website and services. Maedo provides a website engagement platform using automation and artificial intelligence (the "Service"). We strive to ensure our Service is available 24/7, but we do not guarantee 100% uptime.

SLA Note: While we aim for 99.9% availability, we are not liable for downtime due to scheduled maintenance, third-party provider failures, or force majeure events.

3. User Accounts & Responsibilities

  • Registration: You must provide accurate, current, and complete information during the registration process.
  • Security: You are responsible for safeguarding your password and for all activities that occur under your account.
  • Authorization: You represent that you are authorized to use the Service and bind any entity you are representing to these Terms.

4. Prohibited Activities

You may not use the Service for any purpose that is unlawful or prohibited by these Terms. Specifically, you agree not to:

  • Reverse engineer, decompile, or disassemble any aspect of the Service.
  • Scrape, harvest, or extract data from the Service without our consent.
  • Use the Service to transmit spam, malware, or fraudulent content.
  • Attempt to bypass any measures of the Service designed to prevent or restrict access.
  • Use the Service to build a competitive product or service.

5. Intellectual Property Rights

The Service and its original content (excluding Content provided by you), features, and functionality are and will remain the exclusive property of Maedo and its licensors.

**Your Content:** You retain ownership of any data, text, or content you submit to the Service. You grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, and display your Content solely as necessary to provide the Service.

6. Fees and Payment

Some parts of the Service are billed on a subscription basis ("Subscription(s)"). You will be billed in advance on a recurring and periodic basis (such as monthly or annually).

  • Price Changes: We reserve the right to modify pricing at any time. Any price change will become effective at the end of the then-current billing cycle.
  • Taxes: You are responsible for all taxes associated with your purchase.

You agree to defend, indemnify, and hold harmless Maedo and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Service, or b) a breach of these Terms.

8. Limitation of Liability

IN NO EVENT SHALL MAETRIXVA, NOR ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (III) ANY CONTENT OBTAINED FROM THE SERVICE; AND (IV) UNAUTHORIZED ACCESS, USE OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE) OR ANY OTHER LEGAL THEORY.

9. Disclaimers

Your use of the Service is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

10. Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
